Terms and Conditions of Use

Your access to, and use of, the Coverant platform (the "Platform"), including the website, smart contract infrastructure, blockchain integrations, and related services, is subject to the following terms and conditions, as well as the laws of the Emirate of Dubai and applicable federal laws of the United Arab Emirates. Your access to the Platform is in consideration for your agreement to these Terms and Conditions of Use, whether or not you are a registered user. By accessing, browsing, using the Platform, creating projects, connecting wallets, or participating in smart contracts, you accept, without limitation or qualification, these Terms and Conditions of Use. Coverant maintains the right to modify these Terms and Conditions and may do so by posting notice of such modifications on this page. Any modification is effective immediately upon posting, unless otherwise stated. Your continued use of the Platform following the posting of any modification signifies your acceptance of such modification. You should periodically visit this page to review the existing Terms and Conditions of Use.

Conduct

You agree to access and use the Site only for lawful purposes. You are solely responsible for the knowledge of and adherence to any and all laws, statutes, rules and regulations pertaining to your use of the Site. By accessing the Site, you agree that you will not:

• Use the Site to commit a criminal offense or to encourage others to engage in any conduct which would constitute a criminal offense or give rise to civil liability;
• Post or transmit any discriminatory, libelous, harassing, defamatory, obscene, pornographic, or otherwise unlawful content;
• Use the Site to impersonate other parties or entities;
• Use the Site to upload any content that contains malicious software or any other computer code, files, or programs that may alter, damage or interrupt the functionality of the Site or the hardware or software of any other person who accesses the Site;

• Post or transmit any unsolicited advertising, promotional materials or other forms of solicitation;
• Post any material that infringes upon or violates the intellectual property rights of another; or
• Collect or store personal information about others; or
• Misuse the Platform to gain or attempt to gain unauthorized access to systems, smart contracts, or user accounts;
• Use the Platform for money laundering, terrorism financing, or other illicit financial activities;
• Manipulate smart contracts, exploit vulnerabilities, or engage in any form of fraud or market manipulation;
• Create or participate in projects involving illegal goods, services, or activities prohibited by applicable law;
• Interfere with blockchain networks, consensus mechanisms, or other users' wallet operations;

Platform Services and Blockchain Operations

Coverant operates as a non-custodial blockchain platform that facilitates smart contract-based escrow services, milestone payments, and project management. We do not hold, control, or have access to your cryptocurrency funds or private keys. You retain full control and responsibility for your digital assets. All transactions are executed through smart contracts deployed on public blockchain networks including Base, Avalanche, Ethereum, and TRON.

Smart Contract Risks and Responsibilities

By using our Platform, you acknowledge and accept the following risks inherent to blockchain and smart contract technology:

• Immutable Transactions: Blockchain transactions cannot be reversed, cancelled, or modified once confirmed on the network.
• Smart Contract Risks: Smart contracts may contain bugs, vulnerabilities, or behave unexpectedly due to code complexity or blockchain network issues.
• Network Dependencies: Platform functionality depends on blockchain network availability, consensus mechanisms, and third-party infrastructure.
• Gas Fees and Network Costs: You are responsible for all blockchain transaction fees, gas costs, and network charges associated with your usage.
• Regulatory Compliance: You must comply with all applicable laws and regulations regarding cryptocurrency usage in your jurisdiction.

Registration and Account Management

To access Platform services, you must create an account and may be required to complete identity verification (KYC) or business verification (KYB) processes as required by applicable regulations. You agree that all information provided will be complete, accurate, and current. You will not register under false identity, impersonate others, or create multiple accounts to circumvent restrictions. Business accounts may require additional verification and documentation.

Wallet Integration and Security

When connecting cryptocurrency wallets to the Platform, you acknowledge that:

• You are solely responsible for the security of your wallet, private keys, and seed phrases. Coverant cannot recover lost private keys or funds.
• You must ensure your wallet software is from legitimate sources and up-to-date with security patches.
• You are responsible for maintaining the security of devices used to access your wallets and the Platform.
• Wallet connections may be terminated or restricted for security reasons or regulatory compliance.

Project Management and B2B Services

The Platform facilitates business-to-business relationships through project-based smart contracts. When creating or participating in projects:

• Multi-Party Agreements: Projects involve clients, service providers, and may include multiple stakeholders with defined roles and responsibilities.
• Milestone-Based Payments: Funds are released based on milestone completion and multi-party approval processes as defined in smart contracts.
• Project Documentation: You may upload documents, reports, and deliverables. You are responsible for ensuring you have rights to share such materials and that they comply with applicable laws.
• Dispute Resolution: In case of project disputes, parties should attempt resolution through Platform mechanisms before seeking external remedies.

Cryptocurrency and Financial Risks

Using cryptocurrency involves significant risks that you must understand and accept:

• Price Volatility: Cryptocurrency values can fluctuate dramatically, potentially resulting in significant financial losses.
• Regulatory Changes: Cryptocurrency regulations may change in ways that affect platform operations or your ability to use digital assets.
• Tax Obligations: You are responsible for determining and fulfilling all tax obligations related to cryptocurrency transactions in your jurisdiction.
• Technical Risks: Blockchain networks may experience downtime, forks, or other technical issues that could affect transaction processing.

Termination of Use

Coverant may, in its sole discretion, terminate or suspend your access to the Platform without notice for any reason, including violation of these Terms, suspicious activity, regulatory requirements, or conduct deemed harmful to other users. Upon termination, you will no longer be authorized to access the Platform. However, existing smart contracts and blockchain transactions will continue to operate according to their programmed terms, as they are immutable and outside of Coverant's control.

Links to Other Sites

Some links on the Site lead to websites that are not operated by the Coverant. The Coverant is not responsible for these websites, nor does it review or control their content. The Coverant provides these links to users for convenience only. These links are not an endorsement of products, services, or information and do not imply an association between the Coverant and the operators of the linked website. When you select a link to an outside website, you are subject to the terms and conditions of the owner/sponsors of that outside website.

Content

Unless otherwise stated, you may download, store and/or use the website material for your own personal use and/or research purposes only. You may not, however, republish, retransmit, redistribute or otherwise make the material available to any other party or make the same available on any website, on-line service or bulletin board of your own or of any other party or make the same available in hard copy or on any other media or commercially exploit such material in any manner without the Coverant express prior written consent. No right, title or interest in any material is transferred to you, whether as a result of downloading, storing or use of such material or otherwise by you. Nothing on this Site constitutes, or is intended to, constitute advice of any kind. The Coverant reserves the right to monitor any content that you provide, but shall not be obligated to do so. Although it cannot monitor all postings or information entered into the Site, the Coverant reserves the right (but assumes no obligation) to delete, move or edit any postings that violate these Terms and Conditions of Use. United Arab Emirates and foreign copyright laws and international conventions protect the contents of the Site. You agree to abide by all copyright notices posted on the Site.

Indemnity

You agree to defend, indemnify and hold harmless the Coverant and all of its employees and agents from any and all liabilities incurred in connection with any claim arising from any breach by you of these Terms and Conditions of Use, including reasonable legal fees and costs. You agree to co-operate fully in the defense of any such claims. The Coverant reserves the right to assume, at its own expense, the exclusive defence and control of any matter otherwise subject to indemnification by you. You agree not to settle any matter subject to this indemnity without the written consent of the Coverant.

Disclaimer of Warranty

You expressly understand and agree that your use of the Platform is at your own risk. The Platform is provided "as is" and "as available" without warranties of any kind. Coverant makes no warranties that:

• The Platform, smart contracts, or blockchain networks will be uninterrupted, error-free, or secure;
• Smart contracts will function as intended or produce expected results;
• Blockchain transactions will be processed successfully or within expected timeframes;
• The Platform will be compatible with all wallets, browsers, or devices;
• Third-party integrations, blockchain networks, or external services will remain available or functional;

No Financial or Investment Advice: Coverant does not provide financial, investment, tax, or legal advice. All decisions regarding cryptocurrency usage, project participation, and financial transactions are solely your responsibility.

Limitation of Liability

To the maximum extent permitted by law, Coverant and its officers, directors, employees, and agents shall not be liable for any incidental, indirect, special, punitive, exemplary, or consequential damages arising out of or related to your use of the Platform, including but not limited to:

• Loss of cryptocurrency, digital assets, or funds due to smart contract execution, network issues, or user error;
• Losses resulting from market volatility, regulatory changes, or blockchain network failures;
• Project disputes, contract breaches, or milestone payment issues between users;
• Compromised wallets, phishing attacks, or security breaches not directly caused by Coverant's negligence;
• Business interruption, lost profits, or reputational damage;

Our total liability to you for all claims shall not exceed the amount of fees paid by you to Coverant in the twelve (12) months preceding the claim, if any.
